Parts Sales Notice and Disclaimer

Instant Cleanroom Solutions, Inc. (ICS) builds, sells, and leases ISO 1644 conforming mobile, portable, and permanent cleanroom systems. Where ICS has delivered or installed a fully functional system (a “Unit”), certain warranties and standards may apply to a finished system and its components, including applicable warranties from the manufacturers of the components and materials used in the Unit. This statement does not constitute an express or implied warranty of any kind, however, as any warranties or assurances applying to entire Units would be found only, if at all, in a specific written agreement between ICS and customers purchasing completed Units.

Some individuals and companies (“Product Customers”) may purchase from ICS various individual parts, equipment, and materials (the “Products”) that can be used in the manufacture of cleanrooms and similar facilities. Such Products are sold as discreet components or materials rather than finished systems or Units and are sold without any warranty by ICS. By acquiring such component Products from ICS, the Product Customer agrees to the following:

1. ICS does not indemnify Product Customers for the function or failure of any of the component Products it sells to them. If any Product fails in any way not attributable to the actions of or use by the Product Customer, the Product Customer agrees to look to the original manufacturer of that Product. ICS shall not be liable for direct, indirect, incidental, or consequential damages resulting from Product failure or Product Customer’s use or installation of the Product.

2. Product Customer is purchasing Products with the express intent of constructing systems with them and modifying them for use. ICS does not have any control over how a Product Customer uses, incorporates, modifies, or adapts a Product. It is the responsibility of the Product Customer to ensure that the Product meets the Product Customer’s specific needs.

3. The Product Customer agrees to take all reasonable care in the use of any Product, and to research and consult with manufacturers or engineers for specifications and recommendations wherever reasonably necessary. If the Product Customer is unsure about the correct application of a Product, they shall be responsible to seek and obtain manufacturer or third-party engineering advice as guidance for such application.

4. The Product Customer agrees that any information provided by ICS on its website about Products is provided for general information only, and not intended to take the place of design engineering by Product Customer.
